Terms of service

The agreement

These terms are between you and Zuger Technologies OÜ, Tallinn, Estonia — the contracting entity, seller of record and data controller. They apply when you create an account, connect a tool, or let an agent act on your behalf. If you accept them for a company, you confirm you may bind that company. If you do not accept them, do not connect anything.

What we provide

A platform on which autonomous agents perform work you have briefed them to perform, inside tools you have connected, subject to an approval gate you configure. Agents prepare; you file, sign and pay. An agent reconciles, drafts, redlines and prepares, and stops where a signature, a filing or a payment is required. We provide the agents, the connection scoping, the audit trail and the approval mechanism. We are not a law firm, an accountancy practice or a tax agent, and nothing an agent produces is regulated advice.

Your responsibilities

You are responsible for the mandates you set, the thresholds you choose and the approvals you grant. An agent acting inside a mandate you wrote is acting on your instruction. You must have the right to connect each tool and to authorise us to act in it, and you must keep your own credentials and devices secure.

The approval gate

Payments, filings, contracts, and any communication reaching a third party stop and wait for a human. This is enforced by the platform. You may raise thresholds for non-binding actions; you may not disable the gate for binding ones, and neither may an agent.

Acceptable use

Do not use the platform to break the law, to impersonate a person or an authority, to file anything false with a registry or a tax authority, to send unsolicited bulk messages, or to act on an account you do not control. We will suspend an account that does, and we will tell you why.

Fees

Plans are on the pricing page. Monthly plans renew monthly; annual plans renew annually and are billed in advance. Invoices are issued by Zuger Technologies OÜ and carry its Estonian registry and VAT details. Prices exclude VAT; EU B2C VAT is reported through the Estonian One Stop Shop, and B2B reverse charge applies on a VIES-validated number. We will give 30 days notice before a price change, and it will not apply to a period you have already paid for.

Cookies and browser storage

The site and the Console use one essential session cookie and a little browser storage, described in the Cookies section of the privacy policy. Nothing optional is set unless you accept it on the cookie card, and you can change that choice from Cookie settings in the footer at any time.

Your data

Your data is yours. We process it to run the platform, under the privacy policy and, for personal data you control, the data processing agreement. We do not train models on it. You can export everything at any time.

Availability

We aim for 99.9% monthly availability of the Console and the API, excluding planned maintenance announced 48 hours in advance. Agents run asynchronously: an outage delays work, it does not lose it. A run interrupted by an outage resumes or reports, and never half-commits an action.

Liability

To the extent the law allows, our aggregate liability is capped at the fees you paid in the twelve months before the claim. We are not liable for indirect or consequential loss. Nothing here excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.

Suspension and termination

You may cancel at any time; every agent stops immediately and your export stays available for 30 days. We may suspend for non-payment, for acceptable-use breaches, or where continuing would be unlawful — with notice and a reason unless the law prevents it.

Changes

We will give 30 days notice of material changes, by email and in the Console. If you do not accept them you may cancel before they take effect, and we will refund any unused prepaid period.

Governing law

Estonian law governs, and the courts of Tallinn, Estonia have exclusive jurisdiction, without prejudice to mandatory consumer protections in your own country.
